Please read these Terms carefully, as they govern your access to and use of the COGNITIVE COMPUTING, INC Services (as defined below), COGNITIVE COMPUTING, INC Content, and User Content (as defined below), and are legally binding. COGNITIVE COMPUTING, INC's Privacy Policy is incorporated into these Terms, and by installing, accessing, or using the COGNITIVE COMPUTING, INC Services, you expressly consent to the terms and conditions of the COGNITIVE COMPUTING, INC Privacy Policy, as well as any terms and conditions incorporated therein by reference.

• "User Content" means text, data, graphics, images, photos, and any other content that you upload, transmit, or submit through the COGNITIVE COMPUTING, INC Services.

The COGNITIVE COMPUTING, INC Services and Content are protected by U.S. and foreign copyright, trademark, and other laws. Except as expressly provided in these Terms, we and our licensors exclusively own all right, title, and interest in and to the Services and Content, including all associated intellectual property rights, such as any patents, copyrights, trademarks, service marks, trade names, database rights, domain name rights, applications for any of the foregoing, moral rights, and trade secret rights ("Intellectual Property Rights").

You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary notice contained in or accompanying the Services or Content.

5. License

Subject to your compliance with these Terms, COGNITIVE COMPUTING, INC hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access, view, download, and print (where applicable) the Content and Services, solely for your personal and non-commercial use. Except as expressly permitted by these Terms, you may not use, copy, adapt, modify, create derivative works based on, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services or Content. Except for the licenses and rights expressly granted in these Terms, no license or right is granted to you by implication or otherwise under any intellectual property rights owned or controlled by COGNITIVE COMPUTING, INC or its licensors.

6. User Content

By providing any User Content through the COGNITIVE COMPUTING, INC Services, you grant COGNITIVE COMPUTING, INC a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, use, reproduce, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, and otherwise exploit such User Content on, through, or by means of the COGNITIVE COMPUTING, INC Services. COGNITIVE COMPUTING, INC does not claim any ownership of any such User Content, and nothing in these Terms shall be deemed to restrict any rights you may have to use and exploit any such User Content.

You acknowledge and agree that you are solely responsible for all User Content you provide through the COGNITIVE COMPUTING, INC Services. Accordingly, you represent and warrant that:

You are the sole owner of all User Content you provide on or through the COGNITIVE COMPUTING, INC Services, or you have all rights, licenses, consents, and releases necessary to grant COGNITIVE COMPUTING, INC the rights to such User Content under these Terms; and, the User Content, and your posting, uploading, publishing, submitting, or transmitting of the User Content, or COGNITIVE COMPUTING, INC's use of the User Content (or any part thereof) through the COGNITIVE COMPUTING, INC Services, will not infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity or privacy, or result in a violation of any applicable law or regulation.

7. No Infringing Use

You may not use the COGNITIVE COMPUTING, INC Services to provide, display, distribute, transmit, route, provide connections to, or store any material that infringes copyrighted works or otherwise infringes, violates, or promotes the infringement or violation of any third party's intellectual property rights.

8. Trademarks and Other Proprietary Notices

All trademarks, service marks, logos, trade names, and any other proprietary designations associated with the COGNITIVE COMPUTING, INC Services are trademarks or registered trademarks of it or its licensors. Any other trademarks, service marks, logos, trade names, and any other proprietary designations are the trademarks or registered trademarks of their respective owners.

9. Governing Law and Jurisdiction

These Terms and any action related thereto shall be governed by the laws of the United States, without regard to its conflict of law provisions. The exclusive jurisdiction and venue for any action arising out of or relating to the subject matter of these Terms shall be the courts of the United States, and each party waives any objection to the jurisdiction and venue of such courts.
